About migration and maintenance
Migration includes: audit of your LLC's current status (documentation, compliance, registered agent), Registered Agent change to Devil Club, review and update of the Operating Agreement if needed, and verification of federal compliance (pending filings, FBAR, BE-13). The process takes 24 to 48 hours once we have access to the documents.
Yes. If you already have a valid registered agent, we can take over maintenance without changing it. However, if your current agent doesn't cover everything you need, the change is included in the plan at no extra cost.
The Without Manager plan covers BE-13C (BEA) and FBAR reminders. With Manager, the annual Tax Filing is included: Form 1120, Form 5472 and FBAR 114. All deadlines and reminders are handled proactively by Devil Club.
Yes. With Manager, Devil Club acts as your designated point of contact with the IRS: responds to notices, handles information requests and processes any required corrections. The Without Manager plan does not include this active management.
Yes. Dissolution has a one-time cost of $300, regardless of your plan. It includes the closure filing with the State of New Mexico and the final tax return. No penalty for cancelling before year-end.
