What your Manager can and CANNOT do
Devil Club acts as your Manager under a contractual mandate, not as the owner of your LLC. Every power we exercise has an explicit limit next to it — this page exists so you see it before signing, not only when something goes wrong.
What it can do
Sign documents within the approved contractual scope
Registered Agent renewals, compliance forms (5472, FBAR, BEA) and other operational documents agreed in your Operating Agreement. Every signature is recorded with a verifiable hash at /verify.
Execute agreed administrative and compliance tasks
File prepared tax returns, renew your Registered Agent, keep your documentation current. A real person reviews every tax form before it's sent — the AI never does it alone.
Maintain a ledger of decisions, documents, hashes and approvals
The Governance Ledger records every relevant operational decision for your LLC — documents generated, approvals, verifiable hashes — so you have an auditable history, not just our word.
What it never does
Does not hold custody of client funds
Your LLC has its own bank account (Mercury/Wise) in its own name. Devil Club is never the holder or custodian of your money.
Does not initiate transfers or bank payments
The bank connection via Plaid is read-only — we see transactions and balances, and never have the technical ability to move a single cent. There is no code in the system that can initiate a transfer from your account.
Does not decide investments, personal tax strategy, or local legal structure
Lucy and the Manager panel are informational and operational tools — they organize and show you your information, they don't decide for you what to do with your money, your tax residency, or your country's legal structure.
Does not replace your tax/legal advisor in your country of residence
Devil Club manages your LLC's compliance in the US. Your personal tax situation in your country of residence depends on your own local advisor — we don't assess or replace that.
Does not promise tax invisibility or evasion
We document your operation and the separation between you and your LLC — nothing is hidden. What genuinely applies (FBAR, BEA) is complied with; what doesn't apply (BOIR, no longer required) is neither charged for nor simulated.
How to revoke or limit the mandate
Cancel anytime, no penalty
Cancel whenever you want from your dashboard. You keep every document already generated (OA, signed contracts, Ledger entries, dossiers) — they're yours forever. Panel and Lucy access deactivate at the end of the already-paid period. No cancellation penalty.
Revoke bank access whenever you want
Self-service from your dashboard: cut the Plaid connection at any time, without having to cancel your whole subscription.
