A real Manager, with evidence

The Manager, from the inside

The fair question is "is the Manager real, or a dressed-up nominee?". We answer it with documents, not adjectives. This is exactly what gets generated and recorded — with fictional sample data. Demo data — not a real client

How a Manager decision works

01

The client proposes

Carlos, founder of ACME VENTURES LLC, requests a 12,000 USD profit distribution. The request enters the panel.

02

The Manager approves and signs

The Manager reviews the solvency test, approves and digitally signs the resolution. The client cannot sign on the Manager's behalf.

03

It gets recorded

The signed resolution + its hash enter the Governance Ledger, immutable and verifiable at /verify.

Example 1 · Signed resolution fictional

Manager resolution · ACME VENTURES LLC

Approval of profit distribution

The Manager of ACME VENTURES LLC (New Mexico, EIN 88-1234567) hereby approves a distribution of 12,000 USD to member Carlos Méndez Ruiz, having verified that the company passes the solvency test (assets > liabilities + distribution) as of the resolution date.

Signed: Manager · Mar 14, 2026 · SHA-256 a3f1…9e0c · verifiable at devil.club/verify

Example 2 · Governance Ledger entry fictional

2026-03-14 16:02Z · RESOLUTION_SIGNED · profit_distribution · ACME VENTURES LLC · amount=12000 USD · solvency_test=PASS
2026-02-28 09:11Z · REPORT_DELIVERED · monthly · feb-2026 · pnl_net=+8,240 USD
2026-02-05 12:40Z · CONTRACT_SIGNED · service_agreement_v3 · counterparty=Aurora Holdings Foundation
2026-01-20 18:22Z · RA_RENEWED · registered_agent · period=2026
Every line carries its chained hash — you can't edit the past without breaking the chain.

Example 3 · Monthly report fictional

Manager's Note · ACME VENTURES LLC · February 2026

"A month in the black: +8,240 USD net. Most of the revenue (72%) still comes from your consulting service; software costs rose 14% vs. January — worth reviewing the subscription before the annual renewal. Nothing pending with the IRS this month; the 1120+5472 is prepared in Q1. Comfortable solvency for the distribution you requested."

What the Manager can — and cannot — do

Can do

  • Sign the LLC's resolutions and contracts
  • Approve distributions after the solvency test
  • File tax returns and renew the Registered Agent
  • Record decisions in the Governance Ledger

Cannot do

  • Move or withdraw your funds — we don't custody money
  • Sign on your behalf as member/owner
  • Decide your business's direction without your proposal
  • Delete or edit the recorded history

Everything above uses made-up data. With your LLC, these same documents are generated with your real data and stay verifiable at devil.club/verify.
