Frequently asked questions
What founders ask before forming the LLC
Filing with the New Mexico Secretary of State takes 1–2 business days. Then you receive your legal documents automatically. The IRS EIN is the longest step: 4 to 8 weeks. The LLC itself is operational from day one of formation.
Yes. You don't need US residency, citizenship, or physical presence. You need a Registered Agent in New Mexico (included in our service) and an active email. The entire process is 100% remote.
No. If you don't have an SSN or ITIN, the IRS issues the EIN by fax via Form SS-4 signed by the LLC's responsible party. Devil Club handles that process for you — you don't need any prior US-issued number.
New Mexico doesn't impose state income tax on single-member LLCs that don't operate in the state (no nexus). If you have no physical presence, no employees, and no sales in New Mexico, you generally owe no state tax. Confirm with your tax advisor for your specific situation.
The basic plan covers formation, EIN, legal documents, and Registered Agent. Manager adds the full governance layer: customized Operating Agreement, Governance Ledger, bookkeeping, Lucy AI, contract e-signing, and international substance. It's the difference between owning an LLC and running it like a real company.
