Final Tax Filing with the IRS
We prepare and file your final Forms 5472 + pro-forma 1120 for the last period, marked as a "final return." There is no Form 966 — that applies to entities taxed as a Corporation, not to a disregarded LLC like yours. The final 5472 + 1120 is due when there were reportable transactions with related parties — and Part V of the 5472 itself counts the entity's formation and dissolution, plus contributions and distributions, as reportable. Closure is limited to the state front only if the LLC never had a single one.

Dormant LLC, not closed
If you don't want to close for good but you're not going to operate either, keep the LLC "dormant": no activity, but still meeting the annual Tax Filing (5472 + 1120 at zero) and the registered agent. It costs less than closing today and reopening tomorrow. And note if you plan to come back: a new LLC is a new EIN and banking from scratch — there is no "moving" the same LLC from one state to another while keeping its history.
